Desired Qualities of a Non-Executive Director
- Not formally employed or engaged in an active remunerated capacity with a Micah Australia member organisation
- Understand and committed to the principles of Micah 6:8 – seeking to express kindness and do justice as an integral part of a relationship of faith and humility towards God
- Prepared to commit to the mission, vision and values of Micah Australia
- Having a demonstrated Christian faith, and being an active and regular participant in church gathering or Christian fellowship and community
- Demonstrated passion for the issues that impact those suffering poverty, injustice and marginalization throughout the world but especially in developing countries
- Have some understanding of the principles that underpin modern development practice
- Understand and endorse the role that advocacy and education of fellow Christians plays in influencing decisions within the community and government surrounding issues that impact those suffering poverty, injustice and marginalization
- Participate and contribute to discussions as well as the formulation of working papers around the issues of poverty, injustice and inequality and the role that Micah Australia can undertake in addressing the identified issues
- Understanding of a director’s responsibilities including legal, ethical, fiduciary, financial, risk and strategy governance functions of the organization
- Provide a channel for the constituents of member organisations to make representation to the Board of Directors
- Represent Micah Australia to groups that express an interest in supporting Micah and advocating on behalf of those suffering poverty, injustice and
- Formulate and endorse policies, procedures and systems that govern the operation and compliance of the Company with legislative and regulatory
- Review and endorse policies, procedures and systems as the foundation for the day-to-day operations of Micah Australia
- Provide support and guidance to the staff and volunteers that undertake the implementation of the strategic vision and plan of the organization
Non-negotiable Requirements of a Non-Executive Director
- Committed to the core truths of the Christian faith, as expressed in the Gospels
- Attendance at a minimum of 3 out of 4 meetings per year including one in person meeting (in person meetings may be geographically spread and reasonable travel expenses are reimbursed)
- Participate and attend any significant events – once per annum
- No criminal convictions
- Neither been discharged from bankruptcy or had solvency or financial administration proceedings instigated against you
- Submit to a Working with Children’s check
- Undertake a National Criminal Record check
*Noting current Board NED skills, on this occasion, preference will be given to applicants with financial and Board Governance experience
